Limassol, 8 October 2009. Ocean Hotels Plc. ("Ocean Hotels" or the "Company") today announces that the company has signed a loan agreement for USD 100 million senior secured loan (the "Loan") from Export Development Canada ("EDC") for the financing of the company's two new buildings under construction at Davie Yards Inc. ("Davie").

The loan will allow Ocean Hotels to draw up to USD 100 million in construction financing prior to delivery of the vessels, provided certain conditions are fulfilled. The USD 40 million prefunding to Davie Yards Inc, as announced July 24, is included in the USD 100 million loan. Following delivery of the vessels, the loan will be repaid over 12 years. The loan will be secured by a first priority mortgage on the vessels under construction.

Ocean Hotels CEO Ola Dønnem stated: "The signing of the loan agreement is an important milestone for Ocean Hotels and it is a fundament for the remaining financing. The support from the Canadian government has been essential to ensure the continued progress of our new building program."

Ocean Hotels agrees contract amendments with Davie Yards

Oslo/Cyprus, February 18, 2009. Ocean Hotels have negotiated amendments to the construction contracts for Ocean Hotels two vessels under construction at Davie Shipyard. Davie has also announced that they have reached agreement with CECON, the other client at the shipyard, on new terms.

Ocean Hotels had to accept price increases of USD 6 mill for each vessel. Part of the agreement also regulates more favorable payment terms and new delivery schedule for the two vessels, respectively Q4 2010 and Q1 2011. We are very pleased with this solution in the current financial market and realize that this is important in order to secure financing and securing the continuing operation of the shipyard and delivery of the vessels.

Denis Divers who has resigned as Chief Executive Officer, by mutual agreement with the company. Mr. Dønnem has an extensive career in the marine industry and has followed Ocean Hotels as a COO from the establishment of the company in 2007.

Denis Divers states that he has enjoyed the work with Ocean Hotels and the brilliant concept it represents. He is resigning due to personal reasons.

- Denis Divers has managed to promote Ocean Hotels on the international market and has made a significant contribution to the development of the companies. The board are however very comfortable that Mr. Dønnem will continue developing the company further in the shareholders interest, says Tore Enger, Chairman of the Board.

Oslo, Sep 24, 2008. Ocean Hotels Plc. today announced that it has reached a preliminary understanding with Davie Yards Inc. regarding the ongoing efforts to improve the yard's capitalization and to ensure delivery of Ocean Hotels two multipurpose accommodation vessels (VS4004) on order with Davie Yards.

The agreement is subject to the completion of a total USDm 90 financing of Davie Yards, which must include a capital raising in Davie, as well as the establishing of refund guarantees for future installments, a strengthening of Davie's ownership structure and a corresponding contribution from Cecon ASA. The completion of such recapitalization will, in Ocean Hotels view, ensure a stable long-term financial situation for the yard.

Ocean Hotels contribution is in the form of a cost increase of USDm 20, corresponding to approximately 9 % of the total construction cost for Ocean Hotels new buildings, distributed pro-rata on the two vessels. The price increase will be allocated in three installments during the construction period where 60 % will be paid upon delivery of the vessels.

The already agreed delivery times for the vessels will remain unchanged. Hull 721 will be delivered 2nd March 2010 and Hull 722 will be delivered 9th July 2010.

Ocean Hotels CEO Denis Divers says: "Our focus in this situation has been to ensure the delivery of our two ordered vessels, while providing Davie with the right incentives to ensure that a permanent refinancing solution will fall in place. Under the terms of the agreement, and upon completion of the refinancing, we are confident that Davie will be in a position to deliver the vessels according to schedule."

OceanHotels and OSM signing Partnership Agreement

Oslo, April 16 2008. OceanHotels has signed a firm contract with the leading ship management company OSM for technical management of the first two OceanHotels vessels - currently under construction at Davie Yards in Canada.

The signed agreement will replace the Letter of Intent and will cover the technical management of the first two OceanHotels vessels, including insurance coverage and other services related to the operation of the vessels - based on BIMCO terms. A separate contract is also made opening for the management for the 4 (2+2) optional vessels at Davie Shipyard. These options are still not declared.
