The Board of Directors of Villa Organic has after closing of the subscription period Moday 4.30pm CET decided allocation of shares according to the principles from the subscription material.

In addition another 25.777.251 shares is distributed through a secondary sale from Akvainvest. This ensures that share holders that have subscribed can maintain the same pro rata shareholdings as they had before the share issue to Akvainvest, according to the principles from the EOG meeting the 23th of June. Allocation and instructions is communicated directly from Arctic Securities to each subscriber.

Styret i Villa Organic har etter at tilbudsperioden stengte på mandag kl 16:30 vedtatt allokering i henhold til de prinsipper som fremgår av tegningsmaterialet. Emisjonen på NOK 20m aksjer ble fulltegnet. I tillegg er det allokert 25,777,251 aksjer i et nedsalg fra Akvainvest som medfører at aksjonærer som har tegnet får opprettholde sin pro-rata eierandel som før den rettede emisjonen mot Akvainvest ble gjennomført, i henhold til de betingelser som ble satt av generalforsamlingen den 23. juni. Allokering og oppgjørsinstruksjoner kommuniseres direkte fra Oppgjørsagent, Arctic Securities, til den enkelte tegner.

Guaranteed 60 MNOK private placement in Villa Organic AS

Villa Organic AS has secured a guarantee for NOK 60m in new equity through a Private Placement towards Akvainvest AS. The private placement is the first step in securing a sound financial structure of Villa Organic by increasing the solidity of the company and providing a required capital infusion.

In connection with the Private Placement, certain waivers related to Villa Organic's NOK 200m convertible bond have been obtained from the company's sole bondholder, QVT.

In addition to the Private Placement, Villa is planning a subsequent NOK 20m repair issue combined with a sale of shares from Akvainvest to existing shareholders. The combined exercise is targeting to secure up to NOK 80m in new equity to Villa Organic and the process will enable all shareholders to participate with their pro-rata share of the equity issue.

The proposed private placement and repair issue are conditioned on a reduction of the share capital through a decrease of the par value of the shares from NOK 5 to NOK 1. The private placement and repair issue will price each Villa Organic share at NOK 1.00, implying a post-money valuation of approximately NOK 90m, assuming NOK 80m in gross proceeds.

Both the private placement, subsequent repair issue and the reduction of the share capital are proposed by the Board of Directors to be resolved on the Annual General Meeting to be held 23 June 2009.

Notice of the annual general meeting was sent out on the 16th of June 2009.The annual general meeting will be held at Villa Organic's offices in Vikebukt the 23rd June at 12.00 CET.

Villa Organic has entered into an agreement regarding sale of three licences for farming of salmon plus biomass to Lerøy Seafood Group's (LSG) subsidiary Lerøy Midnor for approx NOK 130 million. The main reason for the sale is Villa Organic's interest in being an active party in improving the biological situation in the Romsdal-fjord. Villa Organic believes that a sale to Lerøy, which will use the licences on other sites, in a positive way will contribute to improve the biological conditions for salmon in the area

Villa Organic is one of Norway's leading fish farming companies with activities in the counties Møre & Romsdal and Finnmark.

In Finnmark the company hold all the licenses in the big areas East of Cape North (in total 23 licenses). This gives the company unique abilities to implement the best management plans in Norway. This year the packing station in the community of Sør-Varanger will be expanded significantly.

In Møre & Romsdal the company have juvenile production of salmon, R&D Licence for salmon, ownership in processing and 70% of the shares in Villa Cod Farm AS. The sales office of the group is located in Aalesund and the main office is in the community of Vestnes.

Villa Miljølaks production of salmon is certified organic through use of cleanerfish, sustainable feed, low stocking density, no use of copper in impregnations and minimal use of chemicals and medicine.

The sale is expected to have minimal impact on Villa Organics total production of salmon. The commitment towards organic production will follow the adopted plans as Villa will increase its production in Finnmark.

The revenues from the sale will facilitate Villa Organic's strategy of increasing the development and use of cleanerfish as an environmental friendly solution in the treatment of sea lice in salmon farming. Villa Organic is world leading within this area through its R&D licence held by Villa Miljølaks. The R&D is being conducted in cooperation with The Institute of Marine Research and Aalesund University College, and includes among others farming of cleanerfish and development of solutions of PD management in the Romsdals-fjord.

The revenues do also give a solid capital base for Villa Organic's large investment in organic cod farming. Villa Cod Farm is today one of the largest cod farming companies in Norway, and the only cod farmer in the world with organic cod production. In a few years the production of cod is expected to exceed 20 000 metric tons annually.

The part-owned processor, Romsdal Processing, with 40 employees will continue operation with supplies from cod harvesting for Villa Cod Farm and other cod farmers. In addition there will be supplies of salmon from Finnmark that will be processed at the plant.

The revenues from this sale and the 200 MNOK raised from convertible bonds issued primo 2008, gives Villa Organic a very solid financial capacity.

Villa Organic har inngått avtale om å selge tre konsesjoner for oppdrett av laksefisk samt biomasse til Lerøy Seafood Groups datterselskap Lerøy Midnor til en verdi av ca. NOK 130 millioner. Hovedgrunnen for salget er Villa Organic sin genuine interesse for å aktivt forbedre den biologiske situasjonen i Romsdals-fjorden. Villa Organic mener at overføringen av konsesjonene til Lerøy, som vil benytte seg av konsesjonene på andre lokaliteter, positivt vil bidra til å forbedre situasjonen for laksefisk i fjorden gjennom brakklegging av områder samt bedre/lettere koordinering av fiskeutsett og drift i fjordsystemet.


Villa Organic er ett av Norges ledende oppdrettsselskaper med virksomheter i Møre og Romsdal og Finnmark fylker.

I Finnmark sitter selskapet på alle konsesjoner øst for Nordkapp (totalt 23 konsesjoner), noe som gir en unik mulighet for implementere de beste driftsplaner i Norge. I år vil man dessuten bygge ut slakteriet selskapet har i Sør-Varanger kommune.

I Møre og Romsdal har man settefiskanlegg for laks, FoU- konsesjon for laks, eierskap i slakteri, samt 70% av aksjene i ett av Norges største torskeoppdrettsselskaper; Villa Cod Farm AS. Konsernets salgskontor ligger i Ålesund og hovedkontoret ligger på Vikebukt i Vestnes Kommune.

Villa Miljølaks produksjon av laks er sertifisert som økologisk gjennom bruk av leppefisk og bærekraftig for, lav fisketetthet, ingen bruk av kobberholdig impregnering, samt minimal bruk av kjemikalier og medisiner.

Salget forventes å ha minimal effekt på Villa Organic konsernets totalproduksjon av laks. Satsingen på økologisk produksjon vil følge vedtatte planer ved at Villa nå raskere vil øke produksjonen i Finnmark.

Inntektene fra salget er med på å muliggjøre Villas strategi om å forsterke satsingen på utvikling og bruk av leppefisk til bekjempelse av lakselus ved oppdrett av laksefisk på en miljøvennlig måte. Villa Organic er verdensledende på dette arbeidet gjennom FoU-konsesjonen i Villa Miljølaks. Dette forskningsarbeidet drives i nært samarbeid med Havforskningsinstituttet i Bergen og Høyskolemiljøet i Ålesund, og omfatter blant annet oppdrett av leppefisken berggylte og utvikling av løsninger for å bekjempe PD i Romsdalsfjorden.

Inntektene fra salget gir også en solid basis for Villa Organics store satsning innen oppdrett av økologisk sertifisert torsk i region Møre. Villa Cod Farm er i dag ett av Norges største torskeoppdrettsselskaper, og den eneste produsenten i verden av økologisk torsk.. Innen få år forventes produksjonen av torsk komme over 20.000 tonn.

Det deleide slakteriet Romsdal Processing i Midsund, som i dag sysselsetter 40 personer, vil fortsatt ha råstoffgrunnlag gjennom torsk fra Villa Cod Farm og andre torskeoppdrettere i regionen. I tillegg vil det bli tilført råstoff av laks fra Finnmark som skal videreforedles ved anlegget.

Inntektene som frigjøres ved salget av konsesjonene og obligasjonslånet på MNOK 200 som ble hentet inn i primo 2008, gir Villa Organic en meget solid finansiell kapasitet.

The post money market cap of Villa Cod Farm is 132 MNOK.

This placement secures the further growth in Villa Cod Farm into 2008 and 2009.

Villa Cod Farm is one of the largest norwegian codfarmers with about 20 MNOK in sales revenues in 2007.

Completion of senior secured convertible bond issue

The extraordinary general meeting in Villa Organic AS has approved the issue of NOKm 200 of convertible bonds. The loan is fully subscribed, and will settle on or around 18 January 2008.

Terms: 7.50% p.a. interest payments, maturity in December 2012, convertible into shares at a price of NOK 57.50 per share.

The convertible bond will be used to restructure existing debt and to finance the expansion of the Villa Organic Group. The loan will enable Villa Organic to expand its production of salmon and trout in the Varanger region in Finnmark, where the company has substantial unused production licenses and -capacity.

The convertible bond also secures Villa Organic additional bank financing for its said expansion.

Pareto Securities AS has arranged the issue.

For første gang i norgeshistorien blir det i dag slaktet økologisk torsk ved Villa sitt slakteri i Midsund, utenfor Molde. Det første slaktet må betegnes som en stor suksess da det viste seg at fisken var vesentlig større enn forventet. Dette viser at økologisk torskeoppdrett gir god fiskevelferd og dermed god vekst. De første partiene går stort sett på eksport, men torsken vil også bli å finne på Centra Høvik, Centra Collosseum og Jakobs på Holtet fra og med mandag. Etterhvert vil den bli tilgjengelig også i andre butikker i Norge. Med dette befester Villa sin posisjon som et av de ledende firmaene i verden innen økologisk oppdrett.

VILS - Whole Foods Markets approval

The worlds biggest organic supermaket chain Whole Foods Markets has approved three suppliers of farmed salmon the company will use excusively to provide salmon to its stores.

One out of these three is the Villa/Blue Sea LLC joint venture brand "Changing Seas".

The farmed salmon will be produced after Whole Foods new salmon standards which are considered as some of the strictest in the world.

After January 1, 2008 no products from other farms will be sourced to Whole Foods the company announces.

VILS - Prolongation of R&D licence

Villa Miljølaks have from the Directorate of Fisheries received a prolongation of the R&D licence with 780 tonn MTB. The licence runs until the end of September 2010.
The R&D licence will be used for research and further development about the use of cleanerfish with main focus on sealice control through the winter, grazing efficiency and improved welfare for the cleanerfish. The research also include an extensive agreement with the Institute of Marine Research in Bergen having the professional responsibility for the research.

VILS - Innvilget forlengelse av FoU-konsesjon

Villa Miljølaks AS har av Fiskeridirektoratet fått innvilget forlengelse av sin FoU-konsesjon med 780 tonn MTB. Tillatelsen gjelder frem til og med 30.09.2010.
FoU-konsesjonen skal benyttes til forskning for videreutvikling og bruk av leppefisk med hovedfokus på lusekontroll gjennom vinterhalvåret, beiteeffektivitet og bedre velferd for leppefisken. Forskningen innebærer også en omfattende avtale med Havforskningsinstituttet i Bergen som har det faglige ansvaret for forsøkene.

Vedlagt følger Villa Salmon AS sin årsrapport for 2006.

Omsetningen i konsernet økte fra kr 56,8 mill i 2005 til kr 165,6 mill i 2006. Driftsresultatet økte fra kr 18,1 mill i 2005 til kr 29,3 mill i 2006.

Årsresultatet er negativt påvirket av finanskostnader. Kr 7,2 mill av disse gjelder kostnader som er direkte knyttet til oppstartskostnader i Troika Seafood Group med datterselskaper. Årsresultatet i Villa Salmon AS for 2006 endte på kr 13,5 mill, sammenlignet med kr 12,3 mill i 2005.

Bjørn Vågsholm is the new director at Kirkenes Processing - the processing plant of Villa Arctic and Troika Seafarms.

Vågsholm has vast experience from the family owned company Jørgen Vågsholm AS, which was sold to Pan Fish and became the worlds largest processing plant for salmon; Pan Fish Processing in Eggesbønes.

Vågsholm will be in charge of the expansion at Kirkenes Processing at the time Villa Arctic is increasing the production in Finnmark.

Kirkenes Processing AS, Villa Arctic AS og Troika Seafarms AS sitt lakseslakteri og processinganlegg Finmark har fått ny leder. Han heter Bjørn Vågsholm.

Bjørn Vågsholm er tilsett som daglig leder på Kirkenes Processing AS. Han har lang erfaring som leder fra det familieeide selskapet Jørgen Vågsholm AS, som senere ble PanFish Processing, i Eggesbønes. Han hadde også ansvar for utbygging av verdens største lakseslakteri i Eggesbønes.

Vågsholm vil bli ansvarlig for utbyggingen av Kirkenes Processing i takt med produksjonsøkningen i Villa Arctic sin satsing i Finnmark.

Results from the first generation of steelhead trout in Finnmark

Harvest of the first generation of steelhead trout is now completed. For the company it has been of top priority to get sufficient documentation in big scale on what results it is possible to achieve in the region. This is an important tool to decide further expansion in the region.



The first fish was put to the sea 09th of June 2006 with an average weight of 850 grams. Total 181 000 fish.

The mortality in the period was 23 000 fish (13%). Out of these 21 000 fish (11,6%) died just after transportation from Møre to Finnmark. That means the mortality after the fish began to grow in Finnmark is very low.

Number of fish harvested was 164 744 fish => 608 358 kg => average weight 3,7 kg.

Sea temperature at average 7,1 degrees. (minimum 2,5 and maximum 11,3)

Specific growth rate 0,71%

Feed conversion rate 1,20 biological and 1,27 economical

Share of fish with best quality (superior) was 95,91%



Net feed cost per kilo produced fish NOK 9,37



The results are very promising, and proves the conditions for profitable fishfarming in Eastern Finnmark.



Villa Salmon owns all salmon licences in Eastern Finnmark and are permitted to have a standing biomass of 20,7 million kilos which gives a production capacity of 35 million kilos (round living weight)

Resultater fra første generasjon ørret i Finnmark

Utslakt av Villas første generasjon ørret i Finnmark er nå fullført. For selskapet har det vært en prioritert oppgave å få dokumentert et fullskala resultat fra utsett til slakt på en generasjon, da dette danner et viktig beslutningsgrunnlag for den videre ekspansjonen i regionen.



Den første fisken ble satt ut 09.06.06 med en snittvekt på 850 gram. Det ble satt ut 181000 fisk.

Dødelighet i perioden ble 23000 fisk (13%). Av dette døde hele 21000 fisk (11,6%) umiddelbart etter transporten fra Møre til Finnmark. Det vil si at dødeligheten som har inntruffet etter at fisken har funnet seg til rette i finnmark er svært lav.

Antall fisk slaktet ble 164 744 fisk => 608358 kg => Gjennomsnittsvekt 3,7 kg.

Villa Salmon sitt heleide slakteri Kirkenes Processing AS står øverst på listen over prioriterte slakterier for inspeksjoner fra Russiske myndigheter. Villa Salmon er eneste oppdretter i Øst-Finnmark og har store komparative fortrinn mot det russiske markedet. Det er derfor meget gode nyheter for selskapet at det nå ser ut til at markedsadgangen mot Russland blir sikret.

Slakting av første generasjon ørret fra Jarfjorden i Øst-Finnmark starter opp mandag 15. januar.

Selskapet anser resultatene fra denne generasjonen å bli en meget viktig benchmark på hva som er mulig å oppnå av biologiske resultater helt Øst i Finnmark. Derfor blir det lagt stor vekt på dokumentasjon.

Resultatene vil bli offentliggjort i slutten av mars.

Sterkere etterspørsel etter organisk/økologisk enn ventet

Villa Salmon har tatt posisjon innen økologisk/organisk akvakultur med målsetting om å bli markedsledende i verden på feltet. Det ble høsten 2006 laget en opptrappingsplan mot økologisk oppdrett. Det viser seg nå at etterspørselen etter disse produktene er sterkere en ventet, og selskapet vil således konvertere en større del av produksjonen over til økologisk allerede i 2007.

Den økologiske produksjonen er lokalisert i Romsdal, Møre.

Selskapet jobber med å øke antall konsesjoner på Møre for å møte veksten innen det økologiske segmentet.

VILS - Innvilget forskningsprosjekt

Villa Salmon har fått innvilget et brukerstyrt innovasjonsprosjekt innen havbruk, finansiert av Norges Forskningsråd, for årene 2007 til og med 2009. Prosjektstøtten utgjør 2,2 mill nok. Prosjektet fokuserer mot utvikling av oppdrett- og bruk av berggylte i lakseoppdrett til kontinuerlig kontroll med lakselus, og skal gjennomføres i samarbeid med Havforskningsinstituttet i Bergen. Dette vil øke tilgangen på denne viktige og effektive rensefisken betydelig. Allerede i 2007 vil Villa Salmon ta i bruk oppdrettet berggylte som rensefisk.

Gjennom datterselskapet Troika Seafarms AS har Villa Salmon tilegnet seg 7 nye laksekonsesjoner i Finnmark. Dette gir rettigheter for selskapet til å ha en økt stående biomasse på inn til 6300 tonn. Med dette styrkes satsingen i Finnmark, og Villa Salmon har nå totalt 23 laksekonsesjoner i fylket. De nye konsesjonene ble kjøpt fra staten i den nylig gjennomførte konsesjonsutlysningen.

Pålydende pr aksje er NOK 100. Emisjonsverdien er fastsatt til NOK 524 826 000 basert på emisjon 17. november 2006 hvor tegningskursen var NOK 1000. Selskapet har inngått avtale om bruk av meldingssystemet og vil kunne benytte dette fra og med 8. desember 2006.
