North Sea Operation for HiLoad DP successfully completed

Remora AS has performed additional offshore operations with the HiLoad DP no. 1 as part of the North Sea Operation agreement announced earlier. The Aframax tanker M/T Telleviken was chartered in and the HiLoad DP performed docking, undocking and DP station keeping in harsh conditions. In conclusion the operations were successful throughout all the different phases.

The HiLoad DP (dynamic positioning) is a loading- and docking vessel for tankers built on Remora's patented HiLoad Attachment System. The technology is based around a suction cup principle where the HiLoad attaches itself to the connected object, utilizing the basic laws of nature, and also handling offshore loading of oil products. The HiLoad vessel has been approved for commercial activities by DNV.

"We are very pleased with these operations, which again have proven that the HiLoad technology works as expected. The participating customers have now seen the HiLoad in operation under difficult and harsh weather conditions and they are impressed and see the HiLoad DP as a very interesting tool in their operating areas", says Peder E. Farmen, CEO of Remora AS.

During last week the HiLoad DP No.1 has successfully performed docking, undocking and station keeping in harsh weather conditions south of Kristiansand. The operation was performed in significant wave height of 3.5 meters (max 6-7 m waves) with wind speed of 35 - 42 knots. Participating oil companies were present during the operation and the feedback from lead participating companies like the ones of Total and Petrobras are very positive.

Remora secures NOK 55 million of new equity - ex rights trading from today

The Board of Directors of Remora AS ("Remora" or the "Company") has decided to invite the Company's shareholders as of 24 June 2011 to provide the Company with new equity in the total gross amount of NOK 55 million (the "Transaction"). The Transaction will consist of a private placement in the amount of NOK 20 million at a subscription price of NOK 7 per share to be completed in July 2011 and an underwriting for subsequent placement(s) in the period to and including 31 March 2012 at the same share price for a total amount of NOK 35 million.

Only shareholders of the Company as of 24 June 2011 ("Eligible Investors") will be entitled to participate in the Transaction, and allocation will in the event of over-subscription be based on the participating Eligible Investors' respective shareholding as of that date. The participating Eligible Investors will participate in the private placement and in the underwriting in the fixed ratio 1 to 1.75, so that for each NOK 1 of an investor's participation in the private placement there will be a NOK 1.75 participation for that investor in the underwriting.

Subscription and Underwriting Forms will be sent to the Eligible Shareholders on 27 June 2011. Subscription and Underwriting Forms must be received by Pareto Securities no later than 11 July 2011 at 12:00 hours (CET).

The shares in the Company will trade exclusive of the right to participate and receive allocations in the Transaction from and including 27 June 2011.

The Transaction is presubscribed and guaranteed by certain key Company shareholders.

Agreement Signed for North Sea Operations

During May, 2011 Total E&P Norge AS and Remora AS entered into an agreement for conducting extensive operations of the HiLoad DP vessel offshore Norway. The planned operations will be the last step in a series of qualifications for Remora, prior the vessel is qualified for field implementation in among others West Africa and Brazil.

Remora AS has completed a Customer Sea Trial for the HiLoad DP no. 1 in Klosterfjorden outside Stord and offshore Bømlo. The Aframax tanker SKS Tana has been chartered for 21 days of extensive testing of docking, undocking and DP station keeping, and the results are successful.

The HiLoad DP (dynamic positioning) is a loading- and docking vessel for tankers built on Remora´s patented HiLoad Attachment System. The technology is based around a suction cup principle where the HiLoad attaches the connected object, utilizing the basic laws of nature handling offshore loading of oil products. The HiLoad vessel has been approved for commercial activities by DNV (Det Norske Veritas).

- We are satisfied with the tests, which have proven that the HiLoad technology works as expected. There has been strong and positive interest from customers, and going forward we are focusing on commercial activities in co-operation with companies in the oil- and gas industry, says Peder Farmen, CEO of Remora AS.

Remora has completed technical marine trials with good results. The tests included among others tests of the ballast system, DP maneuvering, DP tuning, docking and attachment system tests. An internal sea trial and training both inshore and offshore has also been completed, as well as training the company´s HiLoad marine crew under various conditions.

The Customers sea trial is followed on site by oil companies , FPSO operators, tanker owners and operators, P&I Clubs and key vendors, and will be finalized today by a visit onboard the HiLoad for guided inspection of the bridge and machine room. Remora website: www.remora.no

Successful technical marine tests completed + refinancing plan approved

Remora AS ("Remora") is pleased to inform that it has successfully completed the technical marine tests and verified the capabilities of its first vessel, the HiLoad DP #1.
An important milestone for Remora was reached on December 17, 2010 where the Certificate of class was issued by the Classification Society Det Norske Veritas ("DNV").
A Customer Sea Trial is scheduled for January 2011, where 20 major oil companies so far have confirmed their participation. Following a successful sea trial the HiLoad DP # 1 will mobilize for a commercial contract in 2011.
On 29 December 2010 an extraordinary general meeting approved a full financing plan in Remora, including new share issues of NOK 316 million through a fully underwritten new share issue and conversion of shareholder loans, and restructuring and extended maturity of current debt. Following the successful refinancing, Remora now has a sound funding base and balance sheet.

The Board of Remora AS has resolved to call for an extraordinary general meeting in Remora AS to be held on 29 December 2010 to approve a private placement in the amount of NOK 50 million and the conversion of shareholder loans to equity as part of a debt restructuring. The subscription price in the private placement and the conversion price in the loan conversion is NOK 5.24 per share. Existing shareholders and certain other investors have undertaken to subscribe for all shares in the private placement, and lenders holding more than 98% of the shareholder loans have agreed to the conversion.

Remora AS intends to carry out a repair issue of new shares directed towards those shareholders who were not invited to participate in the private placement.

Remora AS ("Remora") has taken delivery of its first vessel, the HiLoad DP #1. The vessel is currently performing technical marine tests and several important milestones have been reached. The results of the technical marine tests completed so far have clearly verified the capabilities of the HiLoad DP Vessel. Following the completion of the technical marine tests the company will perform a Customer Sea Trial program, and 20 major oil companies have so far confirmed their participation.

Delivery of the HiLoad DP no.1 vessel

All pending clarifications relateted to the settlement agreement between Remora ASA and Aibel have now been concluded and Remora has taken delivery of the HiLoad DP no 1 vessel. The earlier reported repairs of signal cables and center thruster are completed and the vessel is currently being prepared for the full scale inshore test, starting end January and to be performed prior to DnV issuing the final class certificate in February. The inshore test will partly be performed before the vessel departs Aibel's yard in Haugesund and partly near Halsnøy in the outlet of the Hardanger Fjord. After DnV has issued the final class certificate, Remora in March plans to undertake a 3 weeks Sea Trial program. This program represents a full scale qualification of the HiLoad vessel and will be performed in cooperation with twelve international oil companies, with the objective to qualify the HiLoad DP no1 for projects operated by these operators. As a group, these operators represent the market majority in Remora's targeted regions. Based on feedback received, Remora is still confident that a successful Sea Trial project will lead to the first contract for full field operation.

Agreement with Aibel

Remora ASA has entered into a settlement agreement with Aibel AS regarding the delivery of Hiload DP no1. The agreement represents a total and final settlement for the construction of the vessel including closure of the pending arbitration between the two parties. The formalisation of the agreement is pending on certain clarifications, which are expected to be confirmed before Christmas.

The Hiload vessel will be delivered to Remora ASA when specified activities have been finalized by Aibel. This is expected to happen in a matter of few weeks. Remora ASA will finalise the remaining construction and commissioning activities at Aibel's yard in Haugesund in January. Remora ASA will then mobilise the vessel to Halsnøy in Sunnhordland and a full scale inshore test will be performed in order for DnV to issue the final class certificate. After a successful inshore test, a 3 weeks Sea Trial program will be performed in cooperation with twelve international oil companies to qualify the HiLoad DP no1 for projects operated by the above operators.

Sea-launch of HiLoad DP no.1

Remora ASA is pleased to present the first pictures of the HiLoad DP no.1 vessel, following a successful sea-launch operation in the waters nearby the Aibel Yard in Haugesund, Norway Friday 13th March. The sea launch marks the start of an extensive test program which has generated significant market interest among leading industry players.

"Seeing HiLoad DP no.1 soundly afloat marks a significant milestone in the development of Remora and the HiLoad technology. Although we have remained confident in our belief that the design is good, it is very reassuring to see such good results from the first of a series of tests, which the HiLoad vessel will undergo during the upcoming weeks in Haugesund", says Tore Lea, CEO of Remora ASA.

The sea- launch was followed by an inclination test, for calculation of the vertical center of gravity. This test incorportates an important verification of the design criteria and was successfully concluded on 15th March.

The HiLoad technology has a wide range of applications, and can be deployed within offshore loading of crude oil and turret mooring of FSOs and FPSOs, as well as a mobile propulsion/DP system for other vessels or semisubmersible rigs. The HiLoad Systems offer both cost savings and operational advantages compared with traditional loading and mooring solutions. The main marketing focus is the Gulf of Mexico, South-America and West-Africa. Remora remains confident that it will be able to secure a contract for the vessel.

The HiLoad DP no 1 vessel, which is 59 meter high and 27 by 27 meters wide, will upon successful commissioning and inshore testing be transported to a site in Western Norway, where the sea trials will be carried out directly after the inshore test program, currently scheduled to start in April. The plan is to execute the sea trials in close cooperation with several international operator companies. Seven leading oil companies have already confirmed their participation in the test program, which indicates a significant market interest for the HiLoad concept in general and the HiLoad DP no.1 vessel in particular.

Reference is made to previous communication related to the NOK 120 million preferential rights issue in Remora ASA at NOK 20 per share. The issue has now been completed, and a total of 6 million new shares have been issued, bringing the total number of outstanding shares in Remora ASA to 19.098.776. The proceeds from the issue will be used to finance the HiLoad DP no. 1, the company's first vessel from a new generation offloading system. Remora ASA is pleased to announce that the HiLoad DP no. 1 has been loaded out on Eide Barge 33 in a successful operation completed at the Aibel yard in Haugesund yesterday. The vessel will now move into the last phase of mechanical completion, sea-launch and commissioning, before being transported to a location suitable for sea trials and further testing.

"The load out of the HiLoad DP. no 1 is an important milestone for Remora and with the upcoming commissioning program and further sea-tests we are headed towards another exciting period for the company. Remora have received significant interest from leading E&P operators for participation during the sea trials Combined with other feedback from the markets, we retain our positive market view", says managing director Tore Lea of Remora ASA.

The HiLoad technology has a wide range of applications, and can be deployed within offshore loading of crude oil and turret mooring of FSOs and FPSOs, as well as a mobile propulsion/DP system for other vessels or semisubmersible rigs. The HiLoad Systems offer both cost savings and operational advantages compared with traditional loading and mooring solutions.

The main marketing focus is the Gulf of Mexico, South-America and West-Africa. Remora acknowledges that the present financial climate eventually may delay the decision making processes also in the projects the company is pursuing. Remora nevertheless remains confident that it will be able to secure a contract for the vessel.

Update on dispute with Aibel

Stavanger, 16 January, 2009

Reference is made to Remora ASA's shareholder presentation dated December 23, distributed to all shareholders in Remora on January 5, 2009, which inter alia refers to the outstanding disputed variation orders in relation to the contract with Aibel AS for the construction of HiLoad DP no.1.

Remora has now received a formalized statement of claims for an arbitration process from Aibel AS. Aibel's final monetary claim is not expected until after delivery of HiLoad DP no.1.

Remora's assessment of the basis for claim remains unchanged. The company is in the process of preparing the defence, and will take all appropriate measures to protect Remora's interests.

The work to finalize the construction of HiLoad DP no.1 is progressing according to the revised plan presented in the shareholder presentation referred to above.

The Board of Directors in Remora ASA has convened an extraordinary general meeting to resolve a NOK 120 million rights issue, consisting of 6 million shares at a subscription price of NOK 20 per share. The proceeds from the issue will be used to finance costs related to delayed delivery from the yard, later start-up of client contract, and increased construction costs for the vessel. The issue is guaranteed through pre-subscriptions and guaranteed subscriptions from major shareholders.

On August 25, 2008 Stena Drilling Ltd. and Remora ASA concluded an EPC (Engineering, Procurement & Construction) contract for a phased development of a new and innovative mooring system to be used on the world's most advanced drillship (Drillmax Ice) - the first to be designed for operation in polar areas. The drillship (Drillmax no. 4) will be built at the Samsung Shipyard in South Korea. The mooring system is based on the patented HiLoad technology and will allow the advanced Dynamically Postioned (DP) drillship to operate with the highest possible regularity in shallow (60 - 300 meters) and icy waters. The system will be based on a DP assisted mooring configuration.

This agreement demonstrates the wide flexibility and potential of the HiLoad concept."

Remora ASA is experiencing strong market interest for its HiLoad DP no.1, and the company has made significant progress in its marketing efforts in the quarter. In parallel with this, several leads for the moored application, HiLoad MV, have been developed and progressed.

Construction of HiLoad DP no. 1
Remora has been notified by the fabrication yard Aibel that they have reduced the manning on the construction HiLoad DP no.1. Based on this, Aibel on August 20 issued a revised project plan with scheduled delivery in Q1, 2009.

Remora does not believe that this will have effect on the contract opportunities the company currently is pursuing. However, delayed delivery will demand that the company maintains the project organisation for a prolonged period and thus increase the total cost.

Frittstående tegningsrettigheter i Remora ASA

I forbindelse med emisjonen i Remora ASA i juni 2006, vedtok selskapets generalforsamling utstedelse av 675.676 frittstående tegningsrettigheter til de opprinnelige aksjonærene forut for emisjonen. Vilkårene for utøvelse av tegningsrettighetene er oppfylt når selskapets aksjer over en periode på minst 10 handelsdager omsettes til en kurs som er minst 50 % over tegningskursen på emisjonstidspunktet (emisjonskurs var NOK 50). Det er også en forutsetning om at det omsettes minst 50.000 aksjer i denne perioden.
Kursen for tegning av aksjene i tegningsrettighetene er aksjens pålydende. (NOK 1,- pr aksje)

Selskapets aksjer har over en periode på 10 handelsdager frem til 9. mars vært omsatt i handelssystemet OTC til en kurs som tilsvarer 50 % over tegningskursen ved emisjonen i juni 2006.
Handelsvolumet i samme tidsrom har vært på over 50 000 aksjer. Begge vilkårene for utstedelse av tegningsrettighetene, både nivå på gjennomsnittlig aksjekurs og omsatt volum, er dermed oppfylt.

Selskapet har nå varslet opprinnelige aksjonærer om at vilkårene for utøvelse av frittstående tegningsrettigheter er inntrådt, og samtlige har bekreftet at tegningsrettighetene vil bli utøvd.

Selskapets styre vil på basis av fullmakt gitt i generalforsamling i juni 2006 melde kapitalforhøyelsen og vedtektsendringen til Foretaksregisteret når alle innskudd er innbetalt.

Remora ASA has successfully completed a series of scale model tests for verification of the final design for the HiLoad DP vessel which is being constructed, at Marintek's Ocean Basin in Trondheim, Norway. This type of scale testing has over many years proved to be accurate compared to full scale operation.

Rettet emisjon mot ansatte og styrets medlemmer

I ekstraordinær generalforsamling 29.juni 2006 ble det vedtatt en fullmakt til kapitalforhøyelse ved utstedelse av nye aksjer.
Styret ble gitt fullmakt til å utstede inntil 25.000 aksjer ved nytegning, hver pålydende kr 1.
Den 06. juli ble det tegnet 9.000 aksjer på kurs kr 50 pr. aksje. Innbetalingsfrist på aksjeinnskuddet er 01.september 2006. Selskapets aksjekapital vil etter at emisjonen er gjennomført være kr 9.409.000,. fordelt på 9.409.000 aksjer.

REMO: Nytt selskap på OTC-listen

Det er med virkning fra 7. juli 2006 lagt inn et nytt selskap på OTC-listen - Remora ASA- med ticker: REMO og ISIN NO 0010298359. Emisjonsverdien er satt til NOK 470 000 000 basert på siste emisjon i juni 2005 med emisjonskurs NOK 50. Antall aksjer utstedt av selskapet er 9 400 000. Pålydende pr aksje er NOK 1,03662. Selskapet har inngått avtale med om bruk av meldingssystemet og vil kunne benytte dette fra 7. juli 2006.

Remora ASA har utviklet neste generasjons offshore lossesystem; HiLoad.
HiLoad er en L-formet flytende dokke- og losseterminal med dynamisk poisjonering (DP), pumper og losseslange. HiLoaden kobler seg til FPSO-enheten når ikke i bruk, og beveger seg for egen maskin til avtalt posisjon for å møte tankskip på feltet ved losseoperasjoner. HiLoad kobler seg til tankeren, og holder denne stabil ved hjelp av DP under lossingen. Ved endt lossing frikobler HiLoad seg fra tankeren, og returnerer til FPSO’en i påvente av neste lossing.
Ved bruk av HiLoad vil det ikke være behov spesialutrustede DP-tankere, taubåter og faste bøyer for å utføre lossing.
Selskapets målsetning er å eie og operere HiLoad enhetene, og leie ut til operatørene.
Ettersom HiLoaden har egen maskin og er uavhengig av vanndybde, har den spesielle fortrinn ved bruk i områder med begrenset eller ingen infrastruktur på dypt vann. I tillegg vil leiemodellen gjøre den attraktiv på felt med kortere levetid, ettersom behovet for kapitalinvesteringer er betraktelig redusert.
Selskapet har inngått en kontrakt med Vetco Aibel i Haugesund for bygging av den første enheten, med opsjon på ytterligere to enheter.
Selskapet gjennomførte i juni en emisjon på NOK 420 millioner NOK, som sikrer fullfinansiering av den første enheten.
Selskapet planlegger børsnotering i løpet av 12 måneder, og ønsker i mellomtiden å være registrert på OTC.
