Hitec Industries melder herved at selskapets administrerende direktør, Frode S. Berg, har sagt opp sin stilling for å etablere egen virksomhet. Frode S. Berg vil stå i stillingen så lenge selskapet ser behov for dette i forhold til pågående prosesser og fremtidig organisering.

"Jeg har hatt seks fantastisk spennende år i Hitec Industries med både kjøp av bedrifter, vekst og oppbygging av selskaper samt avhending av virksomheter. Det har vært spesielt tilfredsstillende å følge utviklingen av Remora og HiLoad konseptet gjennom disse årene og det er veldig kjekt at det første HiLoad DP fartøyet nå er klar for operasjon. Hitec Industries har en veldig spennende portefølje av selskaper med dyktige og entusiastiske medarbeidere. On the evening of 11 December 2008, Vitico AS (`Vitico`), a company controlled by Hitec Industries Portfolio KS (`Hitec Industries`), agreed to purchase 12,904,087 shares in Grégoire ASA (`Grégoire`) for a purchase price of NOK 0.75 per share with settlement in cash. Further, Hitec Industries has agreed to transfer its total shareholding in Grégoire to Vitico at a price of NOK 0.75 per Grégiore share with consideration in the form of shares in Vitico. Accordingly, Hitec Industries will transfer 28,258,619 shares in Grégiore to Vitico. Vitico`s shareholding in Grégoire following these transactions will amount to a total of 41,162,706 shares, representing approximately 48.1 % of the shares and votes in the company. Vitico has obtained a partial exemption from the stand still obligation under the Norwegian Competition Act and accordingly these acquisitions are unconditional. Accordingly, Vitico intend to launch a mandatory offer to acquire all remaining shares in Grégoire at NOK 0.75 per share, pursuant to Chapter 6 of the Norwegian Securities Trading Act. It is expected that a mandatory offer will be launched in the beginning of January 2009.

Neither Vitico nor close associates of Vitico holds shares or rights to shares in Grégoire other than as stated above. Further, following the transaction, Hitec Industries does not directly own any shares or rights to shares in Grégoire.

Hitec Industries is a relatively small company with many small shareholders and the background for the proposal is to simplify the administrative procedures linked to information and follow up of the shareholders. Hitec Industries has today entered into an agreement to sell the shares in Hinna Park to Scandinavian Property Development.

Over the past 10 years, Hinna Park has developed from a shipyard and industrial area into an exciting and multifaceted area for commercial and residential property development.

Hitec Industries had a 48,9% ownership share in Hinna Park and the book value of these shares in the accounts is 135,7 mill.

Net proceeds from the transaction is estimated to be 260 mill. In addition Hitec Industries has received a dividend of 38 mill. from Hinna Park.

In connection with the share issue in June 2006 the original shareholders of Remora ASA were granted warrants to subscribe 675 676 shares in Remora when the shareprice had been traded 50% above issue price for a period of 10 days and with a volume equal to or above 50 000 shares.

The board of directors of Remora ASA has determined that the conditions for exercise of the warrants are met and Hiload Holding (a company where Hitec Industries has a 87,5% ownership) will subscribe for it's pro rata portion being 655 406 shares. The shares will be subscribed at par value (NOK 1,-).

Hinna Park sells office buildings

Hinna Park, a portfolio company of Hitec Industries, has entered into a sale agreement of three fully owned subsidiaries: Jernbanebyggene AS, Stadionblokk A AS, Stadionblokk B AS comprising four office buildings with a total office area just below 14 000 m2. The acquirer will pay NOK 113 million for the shares in the three companies and in addition take on approximately NOK 194 million in debt and other liabilities from Hinna Park yielding a total transaction value of NOK 307 million. Hitec Industries has a shareholding of 48,8 % in Hinna Park. Frode S. Berg, CEO of Hitec Industries comments: "The transaction highlights the positive development Hinna Park has had in recent years. We are very satisfied with the job done by the Hinna Park team."

The book value of Hitec Industries' 48,8% ownership in Hinna Park in the Hitec Industries accounts is NOK 118,2 millions. The office buildings that now have been sold are estimated to account for approx 20% of this value.

Successful share issue and private placement in Grenland Group

One of Hitec Industries’ portfolio companies, Grenland Group, has carried out a share issue and private placement prior to listing on the Oslo Stock Exchange. The share issue consisted of 3,9 mill. shares with a subscription price of NOK 18,- per share. The subscription price gives a pre money valuation of Grenland Group’s equity of NOK 389 mill. The total transaction was 60% oversubscribed.

In the private placement Hitec Industries will sell 7,2 mill. shares at NOK 18,- per share for a total sales value of approx. NOK 130 million. Hitec Industries aims to sell the remaining shareholding (1,47 mill shares) in the retail offering that will close on or about 1 December. The retail offering will be set at the same price per share as in the private placement (NOK 18,- per share). The total book value of the Grenland Group shares in Hitec Industries’ accounts was prior to the placement NOK 110,2 million.
