Independent Oil & Resources ASA has successfully completed the Rights Issue announced on 3rd August 2011.

The subscription periode has been closed, and the Company will issue 319 504 609 new shares at a price of NOK 0,10 per share. Total shares after the Rights Issue will be 958 513 828, each with a par value of NOK 0,025. New share capital will be NOK 23.962.845,71.

Allocation letter will be distributed today, Wednesday August 24th, and payment will take place on or about 29th August 2011.

SUCCESSFULLY COMPLETED RIGHTS ISSUE

Independent Oil & Resources ASA has successfully completed the Rights Issue announced on 29th September 2010. The Rights Issue was oversubscribed 1.5 times.

The subscription period has been closed, and the Company will issue 213.003.073 new shares at a price of NOK 0.14 per share. Total shares after the Rights Issue will be 639.009.219 shares, each with a par value of NOK 0.025. New share capital will be NOK 15.875.238.

Independent Oil and Resources ASA (IO&R) - Private Placement - CORRECTION


IO&R has on 08 June 2009 completed a private placement of a total of 45,000,000 new shares, an increase of 11.8%, at a subscription price of NOK 0.20 per share. The gross proceeds from the private placement amounts to NOK 9,000,000.

The proceeds from the private placement will be used to strengthen IO&R's cash position hereunder reduce its debt related to investments.

Upon registration of the new shares issued in the private placement, IO&R's share capital will amount to NOK 10,650,153.65 - corresponding to 426,006,146 shares, each with a par value of NOK 0.025.

Following the transaction the company's two main shareholders, Increased Oil Recovery AS and Independent Oilfield Rentals Ltd. (including it's wholly owned company NET AS) own 151.211.041 shares (35,5%) and 118.745.589 shares (27,9%), respectively.

General

The financial statements for 2007 and 2006 have been prepared in accordance with Norwegian Generally Accepted Accounting principles consistent with the principles applied in the annual financial statements for 2007.

In January, 2007, Independent Oil & Resources ASA sold its subsidiary, Independent Oil Tools AS (IOT) including its wholly owned subsidiaries Premium Casing Services Pty Ltd (PCS) and Independent Tool Pool AS. The total consideration for the shares in IOT and intercompany loans were NOK 380 million. Net gain from the sale was NOK 103 million in the parent company accounts. On a consolidated basis, taking into account the net equity in the subsidiary of NOK 15 million, the gain amounted to NOK 88 million.

On February 2, 2007, the Company also sold 25 million shares in Petrojack ASA, equal to 30% of the total outstanding shares of Petrojack. The total sales price was NOK 550 million. Cost price of the shares was NOK 521 million, resulting in a net gain in the parent company accounts of NOK 29 million. In the consolidated accounts for 2006, Petrojack was accounted for using the equity method. The book value of the shares sold included an equity interest in the 2006 net income of Petrojack of NOK 93 million, resulting in a net loss on a consolidated basis of NOK 64 million.

Long term investments in shares are accounted for using the cost method. Short term investments in shares that are traded on the Oslo Stock Exchange are accounted for using market value at the balance sheet date. Other short term investments in shares are accounted for using the cost method.

The 2007 accounts are unaudited.


Financial Information

Fourth quarter operating loss was NOK 3,5 million compared to MNOK - 1,1 in the fourth quarter last year. Operating loss for the full year was MNOK 6,3 in 2007, compared to MNOK - 3,6 in 2006.

Net income after tax for the fourth quarter 2007 was MNOK - 43,5, compared to MNOK 3,1 in the same period in 2006. For the full year 2007 the net income after tax was MNOK - 44,0 compared to MNOK 482,1 in 2006.

Net income includes negative result from investment in affiliated companies and loss on sale of shares of MNOK 52,9 for the fourth quarter 2007 and MNOK 147,8 for the full year.

Petrolia Drilling ASA ("Petrolia Drilling") has on 1 February 2007 entered into an agreement to purchase 25,000,000 shares in Petrojack ASA ("Petrojack") by way of a share capital increase of 163,204,747 new shares in Petrolia Drilling.

Petrolia Drilling has entered into an agreement to purchase 25,000,000 Petrojack shares from IOT Holding ASA for a total consideration of NOK 550,000,000(equal to NOK 22.00 per Petrojack share). As compensation for the Petrojack shares, Petrolia Drilling has issued 163,204,747 new Petrolia Drilling shares at NOK 3.37 per share to IOT Holding ASA. The price per Petrojack share and the price per Petrolia Drilling share equals the closing prices on Oslo Børs on 1 February 2007.

Following the purchase of Petrojack shares, Petrolia Drilling holds 25,946,200 shares in Petrojack, corresponding to 39.93% of the shares outstanding. Petrolia Drilling holds no options, warrants or rights to further shares in Petrojack.

Petrolia Drilling has issued the new shares based on an authorization given to the board of directors of Petrolia Drilling by the general meeting on 22 June 2006.

Following registration of the new shares, the share capital of Petrolia Drilling will increase from NOK 424,695,999 to NOK 506,298,372.5, and the number of shares, each with a par value of NOK 0.50, will increase from 849,391,998 to 1,012,596,745.

The new shares in Petrolia Drilling issued in the private placement will not be listed and tradeable on Oslo Børs until a listing prospectus has been approved. These new shares will therefore carry a separate ISIN (NO 001 0354038) until approval of the listing prospectus. The new Petrolia Drilling shares will in all other respects carry the same rights as the existing Petrolia Drilling shares upon registration of the share capital increase in the Register of Business Enterprises ("Foretaksregisteret").

The investments in Petrojack will give Petrolia Drilling exposure to modern jack-up rigs at attractive terms.

Following this transaction, Petrolia Drilling will have a diversified exposure to the offshore industry with a combination of new building of modern floaters and jack-ups, rental business as well as near term cashflow from existing units.

The Due Diligence regarding Petrolia Services AS acquisition of Independent Oil Tools AS has now been completed without any findings resulting in adjustments of price or conditions.

The Board of Directors of IOT Holding ASA ("IOT") intends to carry out a private placement of up to 73,000,000 new shares. The planned private placement will be marketed to professional and institutional investors.

ABG Sundal Collier has been retained as IOT's financial advisor in connection with the planned private placement.

After the sale of IOT's oilfield service activities, the Board of Directors of IOT intends to expand IOT's investment activities to include (i) oil service investments, (ii) oil investments, and (iii) other investments. IOT is currently the largest shareholder of Petrojack ASA (39.9%) and recently invested MNOK 100 in PetroProd Ltd. (18.3%). IOT also has significant holdings in Marine Farms ASA (13.7%).

The proceeds from the planned private placement will enable IOT to further expand its investment activities within the three above mentioned investment areas.

IOT HOLDING ASA - SALE OF INDEPENDENT OIL TOOLS AS

IOT Holding ASA ("IOTA") has signed an agreement to sell its wholly owned subsidiary Independent Oil Tools AS ("Independent") to Petrolia Shashin AS, a wholly owned subsidiary of Petrolia Drilling ASA ("PDR").

Independent is an international offshore equipment rental and oilfield service company with facilities / presence in Norway, Australia / New Zeeland, Singapore and Dubai, serving nearby offshore clients. Independent's main product categories include tubing, drill pipe, casing and handling equipment.

Independent is expected to generate 2006 revenues of approximately MNOK 185, EBITDA of approximately MNOK 110 and EBIT of MNOK 57 (un-audited NGAAP figures).

PDR will pay a consideration of MNOK 380.0 for Independent. In addition, Independent has net debt obligations, primarily leasing debt, of approximately MNOK 57 (as per 31 October 2006). The consideration of MNOK 380.0 is payable in cash upon closing of the acquisition, which is expected to take place before 31 December 2006.

The acquisition is subject to approval by the general meeting of the owner of Independent, IOT Holding ASA, and satisfactory due diligence by PDR.

IOTA will subsequent to the divestment of Independent control significant values by way of cash and listed securities. The Board of Directors will during the first quarter of 2007 consider the company's future strategy.

The reorganization entails the establishment of a holding model, after which IOTA's operational activities have been placed in IOT Services AS, a wholly-owned subsidiary company owned by IOTA.
The administrative functions and the financial investments will remain in IOTA.

Preliminary financial report for Independent Oil Tool ASA (IOTA), including Premium Casing Services Pty. Ltd. (PCS) for 2nd Quarter 2006.

Operating result is NOK 12,9 mill. and income before tax is NOK 73,2 mill.

Activity is expected to remain high also for the 3rd Quarter for IOT's core areas, and some improvement is expected also for PCS' activities, as delayed operations are getting started.

IOT will continue to look for investment opportunities, particularly in the rig market. which remains very strong.

Independent Oil Tools ASA ("IOT") has on 16 August 2006 sold 192,097,359 shares in Petrolia Drilling ASA ("PDR"), corresponding to 24.87% of the shares outstanding in PDR.

After the above mentioned sale of shares, IOT holds zero shares in PDR. IOT holds no rights to shares in PDR.

The effect of this transaction will be incorporated in the account for third Quarter 2006.

1. Summons to ordinary general meeting

In a board meeting on 12 May 2006, IOTA resolved to call an ordinary general meeting on 22 June 2006. The precise time and place of the general meeting will appear from the summons, which will be sent out in week 19.


2. Proposal of new legal structure

The board of IOTA has further resolved to put a proposal before the general meeting on 22 June, to reorganize the legal structure of the company. The reorganization will entail the establishment of a holding model, after which IOTA’s operational activities will be placed in a wholly-owned subsidiary company, IOT Services AS. The administrative functions and the financial investments will remain in IOTA.

The reorganization will be carried out by demerging the operational activities of IOTA into a newly founded company, IOT Reorg AS, and in exchange, the shareholders of IOTA will be given shares in IOT Reorg AS. IOT Reorg AS will then be immediately merged with IOT Services, and in exchange, the shareholders of IOT Reorg AS will be given shares in IOTA.

After the completion of the reorganization, IOTA’s shareholders will have the same number of shares in IOTA, with the same nominal value, as prior to the reorganization. The reorganization will not bring about any tax related effects for Norwegian companies or Norwegian shareholders. Foreign shareholders must seek the necessary professional assistance to assess any tax related effects of the reorganization.

In practice, the mentioned demerger and merger will come into effect at the same time, and the aim is that the completion will take place in August or September 2006. The transaction will be carried out during a week-end after the end of trading on a Friday and be completed before the trade opens Monday morning. Thus, the shares in IOTA can be traded as usual during the whole period.

The background for the board’s proposal is to create a clear division of operational and organisational tasks and responsibilities, with an increased focus on operations. A further aim is to entail cost savings for the corporation and make the underlying values in IOTA more visible.

1. Innkalling til ordinær generalforsamling

IOTA har i styremøte den 12. mai 2006 besluttet å innkalle til ordinær generalforsamling den 22. juni 2006. Nøyaktig tid og sted for generalforsamlingen vil fremkomme av innkallingen som vil bli sendt ut i løpet av uke 19.

2. Forslag om ny juridisk struktur

Styret i IOTA har videre besluttet å forslå overfor generalforsamlingen den 22. juni 2006 å reorganisere selskapets juridiske struktur. Reorganiseringen innebærer at det etableres en såkalt holding¬modell, hvoretter IOTAs operasjonelle virksomhet vil bli liggende i et heleiet datterselskap, IOT Services AS. Administrative funksjoner og finansielle investeringer vil bli liggende i IOTA.

Reorganiseringen gjennomføres ved at den operasjonelle virksomheten i IOTA utfisjoneres til et nyetablert selskap, IOT Reorg AS mot at aksjonærene i IOTA får aksjer i IOT Reorg AS. IOT Reorg AS fusjoneres deretter umiddelbart med IOT Services mot at aksjonærene i IOT Reorg AS får aksjer i IOTA.

Etter at reorganiseringen er gjennomført vil aksjonærene i IOTA ha samme antall aksjer i IOTA med samme pålydende som forut for reorganiseringen. Reorganiseringen utløser ingen skattemessige effekter for norske selskaper eller norske aksjonærer. Utenlandske aksjonærer må selv søke nødvendig bistand for å vurdere eventuelle skattemessige effekter av reorganiseringen.

Praktisk vil nevnte fisjon og fusjon tre i kraft samtidig, og det tas sikte på at dette vil skje i løpet av august eller september 2006. Transaksjonen skal gjennomføres over en weekend mellom handleslutt fredag og før handelen åpner på mandag morgen. Aksjene i IOTA kan således omsettes som normalt under hele perioden.

Bakgrunnen for styrets forslag er å skape en oversiktlig og klar arbeids- og ansvarsfordeling med økt fokus på drift. Reorganiseringen antas også å medføre besparelser for konsernet og at verdier i IOTA blir bedre synliggjort.

Reference is made to the OTC-announcement by Independent Oil Tools ASA (“IOT”) on December 1, 2005.

On December 1, 2005 IOT completed a private placement of 23,000,000 new shares, at a subscription price of NOK 2.20 per share. Total gross proceeds from the private placement equals NOK 50,600,000.


After registration of the private placement, the share capital of IOT will increase from NOK 5,250,153,65 to NOK 5,825,153.65, and the number of shares, each with a nominal value of NOK 0.025, will increase from 210,006,146 to 233,006,146.

The proceeds from the private placement will be used to finance further investments in accordance with IOT’s strategy, and repayment of leasing debt on the equipment recently transferred to Petrolia Drilling ASA.

Independent Oil Tools ASA (“IOT”) intends to carry out a private placement with gross proceeds of approximately MNOK 50. The private placement will be marketed to professional investors in the period from 16:10 to 18:00 (Norwegian time) on Thursday December 1, 2005. The subscription price shall be close to market price on Thursday December 1, 2005.

The planned private placement shall be carried out based on the existing board authorization given by the general meeting on October 17, 2005.

Independent Oil Tools ASA (”IOT”) has subscribed 93,777,030 new shares, at NOK 0.55 per share, in a private placement in Petrolia Drilling ASA, and has exercised 23,389,697 subscription rights, each right giving IOT one new share in Petrolia Drilling ASA at a subscription price of NOK 0.55 per share.

After the private placement and the exercise of subscription rights, IOT holds 146,138,127 shares in Petrolia Drilling ASA, corresponding to 32.97% of the new number of shares in Petrolia Drilling ASA.

Please find enclosed financial report for Independent Oil Tools ASA, (IOT) including Premium Casing Services Pty. Ltd., (PCS) for Q3 2005.

Total revenue for Q3 is mill NOK 30,6 and operating expenses are mill NOK 25,6. PCS accounts for mill NOK 10,7 of the revenue and mill NOK 10,1 of the operating expenses.

Operating result is mill NOK 4,99 and income before tax is mill NOK 4,85, down from mill NOK 7,7 in Q2. However, and as previously reported, Q2 pretax result included sale of surplus equipment, amounting to mill NOK 3,6.

While PCS`s activity was somewhat behind budget in Q3, mainly due to delayed start-up of contracts, IOT`s core rental activity in the North Sea area was very good for the 3rd quarter and well above budget.

Activity is expected to remain high also for the 4th quarter for IOT`s core areas, and some improvement is expected also for PCS` activities, as delayed operations are getting started.

Independent Oil Tools ASA (“IOT”) carried out a private placement, subject to final board approval, of 46,000,000 shares (equals 28.05% of the share capital prior to the private placement), at a subscription price of NOK 2.60 per share, on September 21, 2005. The private placement was significantly over-subscribed, with participation from Norwegian and international investors.

After board approval and registration of the private placement, the share capital of IOT will increase from NOK 4,100,153,65 to NOK 5,250,153,65, and the number of shares, each with a nominal value of NOK 0.025, will increase from 164,006,146 to 210,006,146.

The total gross private placement proceeds of NOK 119,600,000 will be used to finance IOT’s investment in PetroMENA AS (see announcement on OTC-list on September 21, 2005), and other investments in accordance with IOT’s strategy.

Share capital increase

Independent Oil Tools ASA (“IOT”) has agreed to carry out a private placement of 14 500 000 shares (approximately 9.7% of the existing share capital) at a subscription price of NOK 2.60 per share. The private placement was significantly over-subscribed.
The gross proceeds from the private placement equal approximately NOK 37.7 million. The proceeds will be used for general corporate purposes and investments in accordance with IOT’s strategy.
As a result of the private placement, the share capital of Independent Oil Tools will increase from NOK 3 737 636 to NOK 4 100 136, and the number of shares, each with a nominal value of NOK 0.025, will increase from 149 505 426, to 164 005 426.
The formal subscription of shares in the private placement will take place in a board meeting that will take place as soon as the authorization given to the board of directors by the general meeting on August 31, 2005 has been registered.

In addition, Independent Oil Tools ASA has entered into agreements to purchase an additional 3.485.000 shares in Petrojack ASA at NOK 19,00 per share, with settlement in Independent Oil Tools ASA shares priced at NOK 2,40 per share. Following these purchases, Independent Oil Tools ASA will hold 6.562.923 shares in Petrojack ASA, corresponding to 11,35% of the share capital of Petrojack ASA.

The shareholders of Petrojack ASA who has accepted the offer from Independent Oil Tools ASA will receive a total of 27.589.583 shares in Independent Oil Tools ASA, which will bring the total number of shares in Independent Oil Tools ASA up to 149.506.145. Please find below financial report for Independent Oil Tools ASA for Q2 2005. (all amounts in NOK thousands)

Total revenue is 21.782, up from 17.694 in Q1, while operating result is 6.553, up from 2.618 in Q1.

Net income before tax is 7.714, after extra-ordinary income of 1.019 and net financial income of 142; up from 1.077 in Q1.

Revenue for the core business is 21.341, operating result is 6.724 and net income before tax is 7.628, incl. extraordinary income of 1.019, which is 3.940 above budget. Net income includes sale of surplus equipment.

After a busy Q1, activity has slowed down somewhat. While the Norwegian Petroleum Directorate (NPD) predicted at the beginning of the year that 30 – 35 exploration- and appraisal wells would be drilled in 2005, only 6 wells were drilled as per 30.06, basically due to a shortage of rigs available to drill the planned wells.
This obviously has a negative impact on our core business in the short term. However, the planned wells will be drilled in due time.

IOT vil etter at overdragelsen har funnet sted eie 28.971.400 aksjer i Petrolia Drilling, tilsvarende 8,9 % av antall utestående aksjer i Petrolia Drilling.

IOT eier også rettigheter til aksjer i Petrolia Drilling i form av (i) konvertible obligasjoner pålydende NOK 4.500.000, med konverteringskurs NOK 0,47 per aksje, som kan konverteres til 9.574.468 aksjer i Petrolia Drilling i perioden frem til februar 2006, og (ii) 128.883.400 frittstående tegningsretter som hver gir rett til tegning av 1 ny aksje i Petrolia Drilling, til kurs NOK 0,55 per aksje, i perioden frem til mars 2006.

IOT vil etter at overdragelsen av de 21.428.600 aksjene i Petrolia Drilling har funnet sted eie aksjer og rettigheter til totalt 167.429.268 aksjer i Petrolia Drilling, tilsvarende 51,5% av antall utestående aksjer (325.417.347) i Petrolia Drilling og 34,4% av fullt utvannet antall aksjer (486.271.003) i Petrolia Drilling.

Independent Oil Tools ASA (“IOT”) has entered into an agreement to acquire all outstanding shares of Premium Casing Services Pty. Ltd. (“Premium”).

Premium is a leading Australian provider of tubular running services, casing, completions / preassembly makeup, wireline equipment rental and personnel. Premium is also the sole test rig provider in the Southern Hemisphere. Premium has approximately 72 employees in Western (Perth) and Central (Adelaide) Australia, serving Australia and surrounding regions. Premium is in the process of establishing an office and warehouse facility in New Zealand. Furthermore, Premium has been added to the Petronas tender list for upcoming submissions in September 2005, and upon award of any contract, Premium will establish facilities in Malaysia.

IOT shall pay a total compensation of (i) NOK 20 000 000 in cash, (ii) 21 428 571 shares in Petrolia Drilling ASA (“PDR), and (iii) 28 145 162 shares in IOT (based on the authorization given by the general meeting in IOT on May 24, 2005) to the owners (Independent Oilfield Rentals IOR Ltd. (45.8%), Bernh. Larsen Holding AS (45.8%) and Premium’s managing director (8.4%)) of Premium.

As per June 27, 2005, the value of the purchase price equals approximately NOK 88.5 million (based on a price per PDR-share of NOK 0.70 and a price per IOT-share of NOK 1.90).

The Board of Directors of IOT is pleased to announce its first important acquisition, expanding IOT’s international presence. The acquisition of Premium is expected to strengthen IOT’s rental and equipment operations. Based on its position in tubular and casing services, Premium intends to increase its focus on the rental segment in the Southern Hemisphere, using IOT’s rental experience.

IOT is considering other international investments in the rental and equipment segment both through its existing agent network and through agreements with independent service providers such as Premium.

Net pre-tax income is NOK 1.077.000.
The result is somewhat below budget, mainly due to agio loss related to the leasing contracts in US$ towards Petrolia Drilling. The pre-tax result for IOT`s core business is ahead of budget, reflecting the increase in drilling and testing activity this year compared to last year.

We expect the level of activity in the areas we operate in to remain high for the year as a whole, and believe we will achieve the budgeted result, or better, by year end.

The interest for subscription in the rights offering was substantial, and subscriptions for approximately 69 million shares have been received, corresponding to an oversubscription of more than 3 times the allocated number of shares.
The board of directors of Independent Oil Tools ASA will allocate the maximum number of shares in the rights offering, corresponding to a total of 20 717 583 shares, at a subscription price of NOK 1.50 per share, corresponding to a gross subscription amount of NOK 31 076 780. The share capital of Independent Oil Tools ASA will therefore increase from NOK 1 553 839 to NOK 2 071 758, and the number of shares, each with a nominal value of NOK 0.025, will increase from 62 153 560, to 82 871 413.

In a meeting on April 8, 2005, the board of directors of IOT resolved to carry out a rights offering based on the existing board authorization (22 676 760 shares remains under the existing authorization to increase the share capital, given by the extraordinary general meeting of IOT on November 16, 2004).
All shareholders of IOT as per April 8, 2005, will receive one subscription right per existing IOT-share. A maximum of 62 153 560 subscription rights will be issued. IOT is considering new investments to expand its core rental operations, as well as investments in new products, services and technologies that may expand IOT¡¦s overall product and service range. Future investments may be financed by cash and / or IOT-shares, and may increase IOT¡¦s critical mass and long-term growth prospects ahead of a contemplated stock exchange listing.
The subscription period extends from April 13 to April 27 (both days inclusive). An information memorandum will be distributed to all shareholders as per April 8 (the information memorandum will be sent by postal mail on April 12).

FORELØPIG REGNSKAP PR. 31.12.04

Sammendrag:

Etter forslag fra morselskapet, DNO ASA, besluttet ekstraordinær generalforsamling i Independent Oil Tools AS 16. november 2004 å omdanne selskapet til allmennaksjeselskap. DNO ASA hadde i forkant av omdannelsen vedtatt å distribuere sine Independent Oil Tools ASA (”IOT”) aksjer til DNOs aksjeeiere som naturalutbytte. I forbindelse med denne prosessen, ble selskapets aksjekapital vedtatt forhøyet fra NOK 1.385.000 til NOK 1.413.839 på den ekstraordinære generalforsamlingen i Independent Oil Tools AS 16. november 2004.

I forbindelse med at DNO ASA vedtok å utdele sine aksjer i Independent Oil Tools ASA som naturalutbytte til DNO-aksjonærene, vedtok styret i Independent Oil Tools ASA å legge til rette for handel av aksjene på NOTC-listen. Slik handel har funnet sted siden 17. desember 2004.

Selskapets hovedvirksomhet er rettet mot utleie av bore- og testerør med tilhørende utstyr, samt service og vedlikehold relatert til dette. Virksomheten er lokalisert i Stavanger og aktiviteten retter seg hovedsakelig mot norsk kontinentalsokkel, men er også økende internasjonalt.

I tillegg er selskapet hovedaksjonær i det børsnoterte riggselskapet Petrolia Drilling ASA. Selskapet deltok i en refinansiering av Petrolia Drilling ASA (PDR) i 2004 og har i denne forbindelse gitt henstand med betaling av forfalt og fremtidig leie under finansielle leieavtaler, totalt NOK 64.4 mill. Som kompensasjon for dette har selskapet mottatt 128.8 mill tegningsretter i PDR til en tegningskurs på NOK 0.55 pr aksje. I tillegg har selskapet 50 millioner aksjer i PDR anskaffet gjennom emisjon og konvertering av obligasjonslån.

Selskapet har til hensikt å utvide sin investeringsvirksomhet, primært innenfor offshoresegmenter som kan styrke selskapets utleievirksomhet, herunder ytterligere rigginvesteringer. Driften i 2004 har vært preget av lav aktivitet på kontinentalsokkelen, blant annet på grunn av lav leteborings-aktivitet samt den langvarige offshore-konflikten høsten 2004.

Styret i Independent Oil Tools ASA (“IOT”) har den 14. januar 2005 vedtatt å erverve 1.636.923 aksjer i Petrojack AS til kurs NOK 6,50 per aksje. IOT vil etter ervervet ha en eierandel tilsvarende 4,2% i Petrojack.
Som betaling for aksjene i Petrojack har IOT utstedt 5.600.000 aksjer i IOT, til kurs NOK 1,90 per aksje, gjennom en rettet emisjon, stor NOK 10.640.000, mot selger av Petrojack-aksjene. Den rettede emisjonen er gjennomført på basis av styrefullmakt gitt av generalforsamlingen i IOT den 16. november 2004. Tegneren av IOT-aksjene (Net AS), har etter sin tegning i den rettede emisjonen en eierandel i IOT tilsvarende 9,0%.
Investeringen i Petrojack er i tråd med IOTs strategi om å øke sin eksponering mot rigg-segmentet i et stigende riggmarked.
I forbindelse med den rettede emisjonen vil IOTs aksjekapital øke med NOK 140.000, fra NOK 1.413.839, til NOK 1.553.839. Antall aksjer vil øke fra 56.553.560 til 62.153.560, hver pålydende NOK 0,025. IOT vil sende melding når ny firmaattest foreligger.

Det er med virkning fra i dag, 17. desember 2004, lagt inn en ny aksje på OTC listen: Independent Oil Tools ASA (IOT). ISIN: NO0010248065. Emisjonsverdien er satt til NOK 140 252 820 basert på siste emisjonskurs den 16.11.2004 på NOK 2,48. Selskapet vil få tildelt tickerkoden ”OITA”. Selskapet har inngått avtale om bruk av meldingssystemet og vil kunne benytte dette fra og med 17. desember 2004.

Independent Oil Tools ASA driver utleie av boreutstyr til oljeselskaper, boreoperatører og andre. Kundene operer hovedsakelig på norsk sokkel.
