A-Viral and Microinvent will explore possibilities for cooperation

A-Viral AS and Microinvent AS have reached an agreement on sharing research results and work together on drug development. The parties expect that this cooperation will enhance the possibilities to identify fields of application for the patented drug AV 1101, and help prove the efficacy of the drug, by applying methods developed by Microinvent.

The next step will be to seek out and further specify a platform of common grounds. Meetings between the owner of Microinvent, Enok A.L. Tjotta, MD and A-Viral has been scheduled, starting next week.

A-Viral's cancer study shows some promising results.

A study on the efficacy of A-Viral's drug candidate AV 1101 has
ended. The scope of the study was to explore if cancer would develop
slower in animals given AV 1101. The average life length for the 3
groups on medication were 18,5, 18,9 and 18,6 days, while in the
control group it was 18,4 days. Measured by the median, the survival
length was 18,19,18 days in the 3 groups on medication, and 18 days
in the control group. All mice lived 16 days or longer.

4 groups with 24 mice in each group have been tested. These findings
give some support for the indications of efficacy seen in our first
cancer study, while the claim of efficacy cannot be made at a very
high level of significance (72 % for the group on medium dosage using
the Chi Square distribution). This rather inconclusive outcome was
what we saw as the most likely result when using such an aggressive
cancer line.

The study was based on the immune response in immune competent
C57BL/6JBomTac mice which were monitored for their response to B16
melanoma cancer cells. The hypothesis for the AV 1101 working
mechanism is that the drug enhances the signal response in the immune
system, and thereby enabling the immune system to slow down the
spread of cancer in the body. In this case a very aggressive cancer
cell line was used, and we expected that we would not get any
survivors, or even much prolonged life expectancy.

A-Viral's Cancer Study has Started

A study on the efficacy of A-Viral's drug candidate, AV 1101, has
just started. The study is based on the immune response in immune
competent C57BL/6JBomTac mice which will be monitored for their
response to B16 melanoma cancer cells. We hope that the cancer will
develop slower in mice which are treated with AV 1101, and thereby
confirm the indications we got in our previous study on this matter.
The fact that we change from nude mice to immune competent mice is
most likely an advantage.

The theory for the AV 1100 working mechanism is that the drug
enhances the signal response from the immune system. The risk with
the new study is that the immune system will not react quick enough
to counter the aggressive B16 melanoma, since we use a more
aggressive type of cancer this time.

The second goal of the study is to find the most effective oral dose,
and we therefore test 3 different doses of AV 1101 in a range around
the dose that had the best results in the 2006 cancer study.

The present study started early this week. If nothing unexpected
happens, the results will come during 1st quarter of 2008. There will
be no data available during the study.

A-Viral strengthens the team by engaging Lars Laier Henriksen as
chairman of the Board. Henriksen has more than 30 years experience as
an international consultant and he is former Managing Partner of
Accenture, Nordic. For the time being, he helds several positions as
board member in start-up companies.

Director of Research and Development.

A-Viral's latest study inconclusive

After running a pilot study on a small number of mice with our
preferred cell line LOX, it seemed that this cell line would catch on
well, and the trial was started with the LOX cells. However, only
about 12% of the mice got ill with cancer, while we expected close to
100%. With so few mice getting ill, we could not measure if the drug
had effect or not. We decided to let the trial run longer than
planned in hope for some development, but this was of little help,
and we have no valuable information from the study, other than that
we must use another cell line next time.

Now we are investigating other models to use for our next test, which
will again be for the efficacy of AV 1101 to delay the onset of
cancer or reject the cancer cells in a mouse model.

A-Viral has concluded 2 smaller studies on cancer cell lines

New cancer cell-lines for our planned study have been tested twice on
small cohorts of mice without medicine being administered, in order
to secure satisfying procedures and reliable test results. With the
basic properties of the cell line established for our model, we
expect the cancer study with AV 1101 to start shortly after Easter.

The purpose of the coming study on mice is to demonstrate that mice
treated with AV 1101 will survive longer and/or develop less tumours
than those not treated. The study has the following phases, out of
which phases 1-3 is mostly done:


1. Planning the experiment. This include deciding of which
experiment to be completed, number of mice, criteria for deciding
illness, and criteria for concluding on efficacy.
2. One hundred mice for the main study have been obtained and taken
care of in stable.
3. Establishing a consistent cell line. During this phase, the
different cell lines are tested on a few mice. For successful end
results, the variation in time for the mice to develop cancer
should be as low as possible. The more homogenous the results in
the control group, the more reliable results we get from our
study. A-Viral is currently in this phase, which is about to be
concluded.
4. Performing the experiment. The study will have a duration
depending on the conclusion for the cell line. It seems to take
between 3 and 4 months.
5. Analysis and conclusions. This phase is expected to be finished
within 4 weeks after the trial is ended.

New information from A-Viral can be expected end of June at our
general assembly.

A-Viral's second cancer study has started.

A-Viral's drug candidate, AV 1101 showed promising results in our
initial study on cancer in mice. Our press release of Sept 22nd was
issued after 98 days, and the study was terminated at 102 days with
no more animals falling ill in this short period, and autopsy of the
animals did not change our conclusions stated in our previous press
release.

A larger study has been set up to verify the indications of efficacy
from the first study. The new study will show statistically
significant effect against cancer if we have a strong effect of the
drug. With a weaker, but still good effect, this study will be the
first of two tests combined which shall be able to verify
statistically medium strong effects against cancer.

The second goal of this study is to find the most effective oral
dose, and we therefore test different doses of AV 1101 in a range
around the dose that had the best results in our previous cancer
study.

The present study started last week with a pilot study to verify the
properties of the cell line we shall use. The pilot study will run
for only a few weeks. It is expected that the main study will start
before Christmas, and results will come during 1st quarter of 2007.
There will be no data available during the study.

A-Viral's cancer study on mice has been evaluated at 98 days after
onset, and it was decided to end the study by Friday Sept. 22nd. The
preliminary results at day 98 were statistically inconclusive, but
quite promising. The lowest oral dose of AV 1101 resulted in the
highest survival rate among mice with malign melanoma, with 6 out of
9 mice living 98 days or more, while in the control group only 2 out
of 9 animals lived that long, and in non of the other test groups did
more than 4 out of 9 animals survive for 98 days. However, the number
of test mice used was limited, so we must set up a follow-up study
where we check a larger number of mice to confirm our initial
findings for the effect of AV 1101 against cancer.

Previous studies indicated that low dose of AV 1101 stimulates the
immune system, while high dose inhibits the immune system. It is in
line with our expectations that the group given the lowest dose had
the best survival rate. New trials will focus on oral doses in a
range around the most efficient dose in our latest study. The
follow-up trials are planned to start this year, and to finish during
the first half of 2007.

If the follow-up trials with low dose treatment with AV 1101 are
successful, our hopes are that we have a general co-treatment
for many types of cancer. In addition, a co-treatment for HIV / AIDS
seems possible, since a stimulation of the general immune system can
make people function better even with a certain deficiency in the
T-cells part of their immune system.

More details from our present study will come in a few weeks when we
get the report.

A-Viral's LD 50 study showed no signs of toxicity.

A-Viral has completed its GLP study to establish LD 50 in rats. The
conclusion is that at doses more than 100 times what has been used in
humans, it was not possible to show any sign of severe toxicity, nor
was it possible to reach lethal doses.


Lethal Dose for 50% of test animals according to GLP standards could
not be established for AV 1101. Even at the highest practical dose,
the animals did not show any signs of severe toxicity. Liver enzymes
were also monitored at this study, and no signs of elevated values
were measured, showing that AV 1101 had no negative effects on liver
function by these indicators.

A-Viral is now planning cancer studies in mice. The studies will
start later this year, with first results late first quarter next
year.

A-Viral to start new animal studies.

A-Viral will start a series of animal studies to clarify the relation
between liver affection and dose of AV 1101. The studies are planned
to start in August, and will follow GLP standards. Thereafter also
cancer studies will be carried out.


It is expected that AV 1101 is well tolerated at lower doses, and it
is the goal of the dose study to substantiate that AV 1101 is safe at
lower doses. AV 1101 has shown interesting effects at low
concentrations, and further research will therefore be focused on
diseases where these properties are useful.

As soon as the dose related studies are finished, we will use the
optimal dose established in these studies in further studies on
cancer in rats. The cancer study is expected to take place late this
year.

A-Viral has patented several promising new drug candidates

A-Viral has filed patent applications for several promising
substances. All substances are new, and they are applied for as
molecular patents. The patent applications WO05/011679 and
WO05/011664 from July 23rd 2003 are now in PCT, and they were both
published on Feb 10th 2005.


The first patent describes the substance that AV 1101 transforms into
as it enters the patients. In the patients the active molecule is the
new substance conjugated with 2 glutathione molecules. The substance
is patented both with and without glutathione conjugates. At Sanquin
this substance has been tested in vitro, and the substance is a very
potent modulator of immune activity.

The second patent concerns a group of several molecules that have
also proven to be modulators of immune activity. The substances have
other interesting properties as well.

A-Viral's study on RA inconclusive

A-Viral's study on RA in Amsterdam is stopped, and the available data
analyzed. It is clear that the dose used was too high. There is no
clear indication in the data for efficacy of the drug against RA.

question now is whether the medicine has beneficent effects or not at
lower dosage. There is no clear indication in the data for
efficacy of the drug against RA, since both the group that got the
drug, and the control group, showed some improvement.

Financially A-Viral is in good shape. The activity level has dropped
because the trial was stopped. Also the activity in Holland will be
greatly reduced next year. We therefore expect the company to have
enough funding for 2005 when the expected tax return (skattefunn) is
included.

A specific working mechanism for AV 1101 in Lupus (SLE) will be
checked, and we expect to look into several other possible
applications as well in the coming year, all within the frame given
by existing funding. When we see a specific opportunity, we will seek
further funding.

A-Viral's study on RA stopped.

A-Virals study on RA in Amsterdam is stopped because it seems likely
that the study drug at 200 mg daily in combination with Plaquenil can
give serious side effects.


All patients that were enrolled at the time the study was stopped,
will have a final check where also the study parameters are measured.
Since the number of patients are about half of the number planned for
in the study, and not so many have finished the whole program, we
will only get indicative data as to whether there is any efficacy of
the drug in RA therapy. Blood samples will be analyzed as well. After
this is done, the code for the trial will be opened and the report
will be made.

If there are positive findings on efficacy, we will check whether the
severe side effect clearly is a function of co-medication with
Plaquenil, and also other explanations for the side effect will be
explored.

The patient seems to recover fully.

Enrolment for A-Viral's RA-study is speeding up.

MD Gert-Jan Wolbink, who is in charge of the RA-study at the Dutch
National Centre for Rheumatoid Diseases, reports that recruitment of
patients is going faster, and 15 out of 30 patients have been
enrolled.


After a slow start, with only 7 patients enrolled over the first 4
months, recruitment is now speeding up, and 8 new patients have been
enrolled during the last 6 weeks.

4 patients are finished with their 12 weeks of medication.

"A-Viral is very satisfied with how the study is running. The
increased recruitment can not be taken as a sign of efficacy for the
drug," says Jorgen Karlsen, "but since recruitment is from a patient
group where they talk together quite frequently, it is more an
indication that there has been no major discontent with the program."

The study is double blind, and the code will not be broken for any of
the patients until all patients are finished, which is expected to be
around April 1st 2005.

A-Viral sikrer driften fremover.

Ledelsen har brukt fullmakten fra OGF og sikret driften av A-Viral,
og de økte dermed sitt eierskap i selskapet.


På styremøte 28/6 vedtok styret en rettet emisjon mot selskapets to
største aksjonærer på samme betingelser som ved tidligere emisjoner.
Dermed har styret brukt deler av fullmakten fra Generalforsamlingen
samme dag til å sikre driften frem til refusjonen fra skattefunn
kommer senere på høsten. Som følge av vedtaket ble 1 million kr.
overført selskapet i begynnelsen av uke 29.

Det er styrets målsetting å få til en betydelig ekstern finansiering
på en vesentlig høyere kurs i løpet av høsten. Hvis dette ikke
lykkes, akter styret å drifte selskapet så rimelig som mulig frem til
resultatene fra RA fase 2 - studien foreligger. Da vil resultatene
fra studien bestemme selskapets verdi.

A-Viral - AV 1101 cream formulation ready for testing against skin

A-Virals patented drug AV 1101 is under development as a cream, which
for testing will come in different formulations and different
concentrations. AV 1101 will be ready for testing in an animal model
for skin inflammation within a few weeks at NIPH department of
laboratory animal services. Dag Marcus Eide, (DVM) will supervise the
study, which will be lead by Eva Ahlfors (PhD). Different
formulations of AV 1101 as cream, gel or salve will be done at
Apotekproduksjon, a GMP certified company. The protocol will be sent
for approval by Norwegian authorities in week 49.

Official report from this pilot study should be ready in January
2004. We then hope to know three tings about AV 1101
1. therapeutic range of concentrations for dermal application.
2. optimal formulations of the cream.
3. adverse effects locally on the skin, if any.

Go ahead for A-Virals first human study in Europe.

A-Virals first human study in Europe is approved by the Ethics
Committee at The Academical Medical Centre, Amsterdam. The study will
be carried out under the supervision of Professor Dr. Med. Tom van
der Poll at AMC, which is one of Amsterdam's larger hospitals, and
also one of the city's largest medical research centres.

Having passed the Ethics Committee, only the formal approval from AMC
remains before they can start screening volunteers for testing.
Insurance is already paid. We expect the study to start in about 2
weeks, and all data should be in by week 2 in 2004. A-Viral will
thereafter receive a report, probably in February.

The study approved is a phase 2 double blind study with 16 volunteers
who will all receive an injection with LPS which will provoke an
immune reaction for a few hours, the symptoms are much like a strong
flu. Two hours prior to the LPS injection, half the patients will
receive AV 1101, and the other half will receive placebo. Before and
under the study, blood samples from the patients will be taken, and
numerous relevant parameters will be checked, to see in which way AV
1101 influence the immune response. Blood from patients will also be
tested ex vivo. And general parameters like fever, headache, etc will
be observed systematically.

This type of study has been successfully carried out for numerous
anti-inflammatory drugs. The protocol is well known and acknowledged
as a good method for gathering information about new drugs. The study
will give good indications for which direction we should go in our
next study.

(Oslo den 20. februar 2003) Finansdirektør Frank Bjordal slutter i selskapet og går over i ny stilling f.o.m. 1. mars i år.

Frank Bjordal slutter i stillingen som finansdirektør. Styret vil foreløpig ikke ansette en ny person etter Bjordal, men vurderer andre løsninger for å sikre at disse oppgavene blir håndtert.

Bjordal slutter for å begynne som daglig leder i Shine Club AS, et selskap som markedsfører og selger helse- og velværeprodukter via nettverk i Norge, Sverige, Danmark og Finland.

På ekstraordinær generalforsamling 17. desember, ble det tegnet for til sammen NOK 5,6 mill. Minimumsbeløpet i den fortrinnsrettede emisjonen var NOK 5,0 mill. På bakgrunn av at emisjonsresultatet ble på nedre halvdel av emisjonsintervallet, vil styret snarlig gjennomgå selskapets aktiviteter, herunder den pågående og planlagte forskning, med tanke på å søke å ytterligere optimalisere forholdet mellom kostnader og forskningsresultater.

Etter at styret konstaterte at forrige emisjon ikke lyktes, foreslås det gjennomført en ny emisjon på NOK 5-10 mill. Tegningskursen er NOK 0,10, og et garantikonsortium har garantert for minimumstegning på NOK 5 mill. Garantikonsortiet ble overtegnet.

Aksjonærene innkalles derfor til ny ekstraordinær generalforsamling 17. desember 2003, for å vedta denne emisjonen. Det er utarbeidet tegningsmateriale inkl. prospekt som er distribuert til alle aksjonærene. Tegningsperioden vil være løpende frem til generalforsamlingen, hvor emisjonen vil bli tegnet direkte i generalforsamlingsprotokollen. Aksjonærene tegner seg i emisjonen ved å sende ferdig utfylt tegningsblankett til selskapet innen tirsdag 17. desember, eller levere tegningsblankett på generalforsamlingen.

Generalforsamlingen avholdes kl. 16.00, 17. desember 2003 på Vika Atrium konferansenter, Munkedamsveien 45.

AVIR - Fortrinnsrettet emisjon lyktes ikke

Styret i A-Viral konstaterer at man ikke har mottatt tegninger i fortrinnsrettsemisjonen som tilfredsstiller minimumskravet på NOK 5 mill.

Styret har gjennomgått foreliggende tegninger, og må konstatere at registrerte tegninger ikke overstiger NOK 5,0 mill., og at emisjonen dermed ikke kan gjennomføres.

Med utgangspunkt i dette resultatet arbeider styret for å gjennomføre en ny emisjon til en lavere tegningskurs, med et garantert minimumsbeløp.

AVIR - avholdt ekstraordinær generalforsamling

På generalforsamling i A-Viral ASA som ble avholdt 30. oktober 2002, ble følgende styre enstemmig valgt: Ola Røthe, styrets leder, Petter Faye-Lund, styremedlem, Jørgen Karlsen, styremedlem og Knut Johannson, styremedlem. Det ble også vedtatt å gjennomføre en fortrinnsrettet emisjon mot eksisterende aksjonærer på NOK 5,0 – 10,0 mill. til tegningskurs NOK 0,40. Tegningsperioden er satt til 7.- 21. nov. 2002. Tegningsmateriale, inkl. prospekt, vil bli distribuert til aksjonærene i forkant av tegningsperioden. Det ble også vedtatt å gi styret en generell fullmakt til å utvide aksjekapitalen med inntil 9,5 mill. nye aksjer, samt fullmakt til å utstede inntil 5,0 mill. aksjer i forbindelse med nytt opsjonsprogram. Det eksisterer ingen andre emisjons- eller opsjonsfullmakter utover det som ble vedtatt.

AVIR - foreslår emisjon

Med bakgrunn i foreliggende kliniske resultater og for å ivareta de akkumulerte verdier som A-Viral ASA besitter pr. i dag ønsker selskapet å utvikle AV-1101 videre og med sterkt fokus også innen området autoimmune lidelser (reumatisme). Selskapet ønsker å hente inntil NOK 10 mill. for å finansiere selskapets videre aktiviteter.

Den nye ledelsen i A-Viral har nå evaluert selskapets forsknings- og utviklingsarbeide, inkl. resultatene fra klinisk fase II forsøk på Filippinene Livskvaliteten til pasientene ble forbedret som resultat av behandlingen. Hud- og søvnproblemer, arbeidsførhet og vekttap ble forbedret. De kliniske observasjonene indikerer således at AV-1101 reduserer symptomene av sykdommen - dog dokumenteres ikke reduksjon av virusmengden i blodbanen. Konklusjonen etter samråd med selskapets spesialister, er at det arbeidet som hittil er nedlagt i preklinisk- og klinisk arbeid, danner en meget interessant plattform for å utvikle AV-1101 både som en reumatisme medisin og som en symptombehandlende medisin for HIV-pasienter.

Med støtte fra de involverte forskerne mener adm. dir. Hans Petter Danielsen og forskningssjef, Dr. Scient Dag Oppen-Berntsen, at veien til markedet internasjonalt gitt dagens forskningsstatus vil være kortere innen reumatisme, enn den vil være innen HIV/AIDS. Parallelt med den videre fokus på reumatisme vil A-Viral evaluere og initiere et videre løp innen HIV/AIDS hvor AV-1101 utprøves i kombinasjon med andre HIV/AIDS -medikamenter, gjerne i samarbeid med andre aktører. Bakgrunnen for et slikt skifte er å finne i nye interessante kliniske funn i kombinasjon med en økt medisinsk forståelse basert på en brobygging mellom forskningsinstitusjonene i Holland og Filippinene. En slik prioritering åpner derfor nye og bedre markedsmuligheter med et større inntjeningspotensial for A-Viral.

Styret har på denne bakgrunn besluttet å innkalle til ekstraordinær generalforsamling for å søke å finansiere selskapets videre aktiviteter gjennom en rettet emisjon mot eksisterende aksjonærer på NOK 5-10 mill., med tegningskurs NOK 0,40. Generalforsamlingen vil bli avholdt onsdag 30. oktober. Det vil bli utarbeidet prospekt som vil bli distribuert til alle aksjonærene før tegningsperioden starter.

AVIR - Hans Petter Danielsen ny adm. dir.

Hans Petter Danielsen tiltrer som ny adm. dir. i A-Viral ASA. Samtidig vil Dr. Scient. Dag Oscar Oppen-Berntsen tiltre som ny forskningssjef.

Hans Petter Danielsen har tidligere vært adm. dir. i børsnoterte Natural ASA. Han har i tillegg hatt en rekke posisjoner i farmasøytisk industri internasjonalt innen områdene forretningsutvikling, markedsføring og salg. Danielsen hadde en sentral posisjon i utviklingen av Nycomed Imaging’s ”joint venture”, Shanghai Nycomed, i Kina. Danielsen er utdannet MBA fra University of San Francisco.

Dag Oscar Oppen-Berntsen er utdannet forsker med bl.a. Dr. Scient. i utviklingsbiologi og molekylærbiologi fra Universitetet i Bergen. Han har tidligere jobbet som forsker i Norsk Hydro innen bioteknologi og som rådgiver i Norges Forskningsråd.

Danielsen og Oppen-Berntsen vil i første omgang jobbe på engasjementsbasis. Danielsen og Oppen-Berntsen vil sammen med resten av ledelsen i selskapet ta del i den allerede igangsatte gjennomgang av dagens forsknings- og utviklingsprogram, og på bakgrunn av dette ta del i utarbeidelsen av en plan for videre fremdrift, samt implementeringen av denne.

Styret planlegger å innkalle til ekstraordinær generalforsamling så snart dette arbeidet er gjennomført, og det antas at innkallelingen vil foreligge innen medio oktober d.å.. Med bakgrunn i den status og fremdriftsplan som da foreligger vil styret ventelig foreslå en egenkapitaltransaksjon for å besørge nødvendig finansiering for å utvikle selskapet og dets produkt videre.

(Oslo den 4. september 2002) Einar Stokke, som har ledet A-VIRAL i 4 år, har meddelt styret i selskapet at han fratrer sin stilling som daglig leder i A-VIRAL.

Ola Røthe, som p.t. er konstituert som styrets leder, vil inntil videre fungere som arbeidende styreleder. Einar Stokke vil stå til disposisjon for A-VIRAL i en overgangsperiode.

Einar Stokkes fratreden skyldes ulike syn på veivalg fremover. Styret ønsker å foreta en grundig gjennomgang, ny evaluering og ytterligere optimalisering av dagens forsknings- og utviklingsprogram, samt selskapets øvrige kostnadsstruktur. Arbeidet er allerede igangsatt i regi av styret, og motivert ut i fra dagens forutsetninger for å hente inn ytterligere kapital på akseptable vilkår for selskapet og aksjonærene.
